The V.I.PUP Collection, a registered trademark of The V.I.PUP Collection, LLC, actively supports the advertising and promotion of its products by selected and respected members of the pet community. The V.I.PUP Collection is federally registered with the  United States Patient and Trademark Office (USPTO). This agreement outlines the terms and conditions of your relationship with The V.I.PUP Collection as an Affiliate.

Definitions:

The Affiliate Program Agreement applies to your participation in our Affiliate Program (the “Affiliate Program”).  These terms are so important that we cannot have you participate in our Affiliate Program unless you agree to them. 

 “The V.I.PUP Collection Affiliate” means a company owned, operated or controlled by The V.I.PUP Collection. 

“Affiliate Program” means our affiliate program as described in this Agreement. 

“Affiliate Lead” means a customer prospect who clicks on the Affiliate Link that we have made available to you via the Affiliate Tool. 

“Affiliate Link” means the unique tracking link you place on your site or promote through other channels. 

“Affiliate Policies” means the policies applicable to affiliates which we may make available to you from time to time. 

“Affiliate Tool” means the tool that we make available to you upon your acceptance into the Affiliate Program and for you to use in order to participate in the Affiliate Program. 

“Agreement” means this Affiliate Program Agreement and all materials referred or linked to in here.

“Commission” means an amount described in the Affiliate Tool (or if applicable, in the Program Policies) for each Customer Transaction. 

“Customer” means the authorized actual user of The V.I.PUP Collection Products who has purchased or signed up for The V.I.PUP Collection products after being an Affiliate Lead. 

“Customer Transactions” means those transactions by Affiliate Leads that are eligible for Commission pursuant to the ‘Customer Transactions’ section of this Agreement. Customer Transactions may include customer purchases or customer signups, as further described in the Affiliate Tool. 

“Customer Data” means all information that Customer submits or collects via The V.I.PUP Collection site and all materials that Customer provides or posts, uploads, inputs or submits for public display through The V.I.PUP Collection site. 

” The V.I.PUP Collection Content” means all information, data, messages, sound, music, video, photographs, graphics, images, and tags that we incorporate into our services. 

 “Program Policies Page” means the landing page: https://thevipupcollection.com/affiliate-program/ where we will provide all the up-to date guidelines and policies for the Affiliate Program. 

“We”, “us”, “our”, and “The V.I.PUP Collection” means The V.I.PUP Collection.

“You” and “Affiliate” means the party, other than The V.I.PUP Collection entering into this Agreement and participating in the Affiliate Program. 

Affiliate Requirements: 

Your requirements as an affiliate are outlined in the Requirements section that was presented to you in your online application and on your Affiliate dashboard and is hereby incorporated into this agreement by reference.

By applying to become an Affiliate for The V.I.PUP Collection, you agree to the following terms: 

1. Use of Affiliate link: 

Affiliates are expressly prohibited from sharing discount codes on coupon sites. Any Affiliate whose code is found on a coupon site, desktop advertising application, and 3rd party advertising platforms will immediately be terminated from the program and all store credit will be rescinded. Affiliate must comply with all federal, state and local regulations, including applicable governing marketing emails (ie CAN-SPAM Act), and all other anti-spam laws. You agree to use your best efforts to promote The V.I.PUP Collection products in a manner consistent with its authorized use and as outlined on product labels. Approved channels for promotion include 1) your own website or blog; 2) emails to friends and family (no spam); and 3) Facebook, TikTok, Instagram and YouTube.

2. Email Marketing:

All email marketing must be reviewed and approved by The V.I.PUP Collection

3. Prohibited Content: 

Affiliate agrees that they will not post content on any platform, as determined by The V.I.PUP Collection in its sole discretion, that: 

  • is pornographic, sexually explicit or suggestive, or contains profanity or nudity; 
  • is unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group; 
  • promotes alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing); 
  • promotes any activities that may appear unsafe or dangerous; 
  • is obscene or offensive, or endorses any form of hate or hate group; 
  • defames, misrepresents or contains disparaging remarks about other people or entities; 
  • communicates messages or images inconsistent with the positive images and/or good will with which The V.I.PUP Collection. wishes to associate; 
  • Is not in English;
  • violates any law.
4. Indemnification: 

You agree to hold The V.I.PUP Collection, its officers, agents, assignees and employees harmless for any liability from any injury or damage arising from the use or promotion of any of our Product. 

5. Relationship: 

This agreement shall not be construed as creating an employer/employee relationship or an employer/contractor relationship.

6. Confidentiality/Use: 

Occasionally we may share information with you that is confidential in nature, such information will be identified as confidential and you are expected to maintain this information in the strictest confidence. Any disclosure of confidential information will terminate this agreement and result in legal action. 

7. Intellectual Property: 

Affiliate acknowledges and hereby agrees to grant The V.I.PUP Collection the unlimited and unencumbered use of any and all work product developed by Affiliate in conjunction with the performance of services for The V.I.PUP Collection. Work product includes but is not limited to all social media posts, pictures, images, videos, recordings, taglines, hashtags, posts, commentary, and designs. 

a. Except where prohibited by law or regulation, Affiliate grants The V.I.PUP Collection and its successors, assigns, licensees and designees permission to use Affiliates name, Social Media Platform account name, photograph (including, but not limited to, Social Media Platform account profile photo), voice and/or other likeness, in all media now known or hereafter discovered (including, without limitation, on The V.I.PUP Collection websites and via The V.I.PUP Collection Social Media Platform accounts), worldwide in perpetuity, for any purpose without additional compensation, consideration, notification or consent.  

b. Affiliate is not authorized to use any copyrighted content from any other companies to promote The V.I.PUP Collection brand. The V.I.PUP Collection will not be responsible for any disputes involving the unauthorized use of any other company’s intellectual property.  

8. Commission Credit: 

As an Affiliate, you earn a standard commission rate for all Net Sales that you directly drive through your marketing efforts. Net Sales are defined as sales excluding any discounts, shipping, store credit, refunds, or taxes. Commissions are paid in the form of store credit valid for use at www.thevipupcollection.com. 

To receive credit for a purchase, the customer must have used your unique discount code during checkout at www.thevipupcollection.com. You cannot receive commission on your own orders. Brand ambassadors are prohibited from sharing their unique codes on discount websites or sharing them in our paid ads on our social media channels. Any Affiliate found to commit commission fraud will be immediately removed from the Affiliate Program. 

We reserve the right to reverse commissions due to returns, order cancellations and erroneous order duplications. We also reserve the right to defer or refuse commissions for disputed orders or orders we reject and cannot fulfill at our sole discretion.

9. Changes to the service:

We periodically update these terms. We might also choose to replace these terms in their entirety if, for example, the Affiliate Program changes, ends, or becomes part of an existing program, including our partner programs. If we update or replace the terms we or the Affiliate Tool will let you know via electronic means at least 30 days prior. If you don’t agree to the update or replacement, you can choose to terminate as we describe below.

10. Pay Per Click Search Activity:

Affiliates are not permitted to carry out any PPC search activity sending traffic to hello@thevipupcollection.com directly. If an affiliate is found running PPC activity, this may result in them being removed from the program. Any affiliate found running PPC Activity will see their participation terminated immediately and any related commissions voided.

11. Removal: 

We reserve the right to remove any Affiliate from our Brand Affiliate Program. 

12. Modification: 

We may change the terms and conditions of this Agreement in the future. Unless this Agreement or applicable law specifies otherwise, we will give you thirty (30) days prior notice of any significant change to this Agreement. If you find the change unacceptable, you have the right to terminate the Agreement. However, if you continue to receive the benefits of the Agreement after the end of the notice period of the change, you will be considered to have accepted the changes. You may not modify this Agreement by making any typed, handwritten, or any other changes to it for any purpose. 

13. Entire Agreement: 

This agreement constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether written or oral, between the parties.
